How do you calculate your savings rate?We estimate that you’ll use 2 emails and 2 phone or video calls per month, billed at our hourly rate of $280. We then calculate the cost of these services along with any additional services you use with our Dynamic Service Credits, as if you were paying under our flat-fee pricing. By dividing the 90-day payment amount by this total, we determine your savings rate. If you end up using more emails or calls than estimated, your savings rate will increase even further!

Do you offer limited-scope retainers?Yes, we offer limited-scope retainers for clients who have already completed other stages of the M&A process and have professionals overseeing due diligence. In these cases, we can assist specifically with drafting and negotiating the purchase and sale agreement. However, we reserve the right to decline representation for buyers who have waived due diligence or request an expedited due diligence process that compromises thoroughness, particularly in share purchase transactions through a broker where a Letter of Intent (LOI) has already been signed.

What are the timelines for a Main Street M&A transaction?A typical Main Street M&A transaction under $5 million CAD usually takes between 3 to 6 months from start to finish. The exact timeline depends on factors such as the complexity of the business, the thoroughness of the due diligence process, and the speed of negotiations. Here’s what is generally included in the process: 1. Initial Consultation and Valuation (1-2 weeks) The seller gathers financials and information about the business. A preliminary valuation is completed to determine the asking price. 2. Marketing the Business (4-8 weeks) If selling, the business is marketed to potential buyers. If buying, this step involves identifying and approaching potential sellers. 3. Letter of Intent (LOI) (1-2 weeks) Once a buyer is found or a business identified, a (generally) non-binding LOI is drafted and signed. This document outlines the basic terms and conditions of the deal. 4. Due Diligence (4-6 weeks) The buyer conducts a detailed review of the business, including financials, operations, legal matters, contracts, and employees. Any issues uncovered may affect the final terms or lead to renegotiation. 5. Negotiation and Drafting of Agreements (2-4 weeks) The purchase and sale agreement, along with other transaction documents, are negotiated and finalized. 6. Closing (1-2 weeks) Once the agreements are signed, the transaction is completed. Payment is made, and ownership of the business is officially transferred. 7. Post-Closing Transition (varies): If agreed upon, there may be a transition period during which the seller assists the buyer in taking over the business. How are your fees structured?All of your Main Street M&A transactions are offered on a flat fee basis. After the initial consultation and within 24 hours, we will provide you with an all-in flat fee quote for your transaction. We will require a percentage of that amount upfront and deposited into our trust account to cover any out-of-pocket disbursements incurred during the transaction. Any portion of the retainer used will be deducted from the flat fee. The remaining balance of the flat fee is due upon closing of the transaction. Payments can be made via debit card, credit card, or Interac e-Transfer. Any additional services outside the agreed-upon scope of work in the quote will be billed separately at the specified rates.

What if I need other types of M&A work completed?We also handle business purchases and sales over $5 million CAD, as well as mergers, management buy-outs, stock-for-stock acquisitions, carve-outs, and joint ventures. Given the complexity of these transactions and the involvement of external experts, they are billed on a traditional hourly basis. These transactions are also not covered by our Transaction Assurance Guarantee.
